1. Acceptance of Terms
By accessing or using the Revino Solutions website (www.revinotech.com) and its related services, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, please do not use our services.
These terms apply to all visitors, users, and others who access or use our services.
2. Services Description
Revino Solutions Pvt. Ltd. ("Revino", "we", "us") provides enterprise AI automation, digital marketing, SaaS development, GTM advisory, technical staffing, and fractional C-suite leadership services to businesses globally.
All services are subject to separate Master Services Agreements (MSAs) or Statements of Work (SOWs) agreed with individual clients. In the event of conflict between these Terms and an MSA/SOW, the MSA/SOW prevails.
3. Intellectual Property
All website content — including text, graphics, logos, images, and software — is the property of Revino Solutions Pvt. Ltd. and is protected by applicable intellectual property laws.
For client engagements: unless explicitly stated otherwise in the MSA/SOW, all custom work product developed by Revino exclusively for a client becomes the client's property upon full payment. Revino retains rights to all pre-existing IP, frameworks, templates, and general methodologies.
4. Confidentiality
Revino takes confidentiality seriously. We sign NDAs before any technical discussion upon client request. Our standard engagement process includes NDA execution at project commencement.
All client data, business information, and project details are treated as confidential and are not disclosed to third parties without explicit consent, except as required by law.
5. ROI Commitment Terms
Revino's 90-day ROI target is a contractual commitment defined in each engagement's MSA/SOW. The commitment applies to measurable KPIs agreed in writing at project initiation.
The commitment is conditional on: (a) client providing timely access to required data, systems, and stakeholders; (b) client approval of deliverables within agreed timelines; and (c) no material change in client business context that fundamentally alters the engagement scope.
6. Payment Terms
Payment terms are specified in individual SOWs. Standard terms are: 50% upfront, 50% on delivery for fixed-price projects. Monthly retainers are invoiced monthly in advance.
Late payments accrue interest at 1.5% per month. Revino reserves the right to suspend services for accounts more than 30 days overdue.
7. Limitation of Liability
To the maximum extent permitted by law, Revino Solutions shall not be liable for: indirect, incidental, or consequential damages; loss of profit or revenue; loss of data; or business interruption arising from your use of our services.
Revino's total liability in respect of any claim shall not exceed the total fees paid by the client in the 12 months preceding the claim.
8. Disclaimer of Warranties
Our website is provided "as is" without warranties of any kind, express or implied. We do not warrant that the website will be error-free, uninterrupted, or free of harmful components.
Revino makes no commitments about specific business outcomes beyond those explicitly agreed in writing in an MSA/SOW. All case study results are verified historical outcomes and not commitments of future performance.
9. Governing Law
These Terms of Service are governed by the laws of India. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of New Delhi, India.
For clients Globally, or Global: applicable consumer protection laws of your jurisdiction are not excluded by these terms.
10. Dispute Resolution
In the event of a dispute, the parties agree to first attempt resolution through good faith negotiations. If unresolved within 30 days, disputes shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996 (India), with arbitration proceedings in New Delhi, India.
Notwithstanding the above, either party may seek injunctive or equitable relief from any competent court.
11. Modifications
Revino reserves the right to modify these Terms at any time. We will provide notice of material changes by posting the updated terms on this page with a new effective date.
Your continued use of our services after changes constitutes acceptance of the updated terms.
